Terms of Service

These Terms of Service govern the use of the website vectordrivehk3d.com (the “Website”), operated by VectorDrive HK Limited, a company incorporated in the Hong Kong Special Administrative Region under formation number 79706720 (“we”, “us”, “the Company”).

By accessing or using the Website you accept these Terms. If you do not accept them, please do not use the Website.

1. Nature of the Website

The Website is an informational resource describing the equipment, materials and services the Company supplies. Nothing on the Website constitutes a binding offer to sell. Prices, specifications, availability and lead times shown are indicative and may change without notice.

A contract of sale is formed only when the Company issues a proforma invoice or written order confirmation and the customer accepts it in accordance with the terms stated in that document.

2. Quotations and Orders

• Quotations are valid for the period stated in the quotation, and in the absence of a stated period, for 14 calendar days from issue.
• Quotations are based on the specification supplied by the customer. Changes to that specification may change price and lead time.
• Orders are subject to manufacturer availability and to the Company's acceptance.
• Settlement currency is United States Dollars unless otherwise agreed in writing.

3. Delivery, Risk and Title

Delivery terms are agreed per order in accordance with Incoterms® 2020 (EXW, FOB, CIF or DAP as specified in the proforma invoice). Risk passes to the customer in accordance with the agreed Incoterm. Title to the goods passes to the customer only upon receipt of payment in full.

Delivery dates are estimates given in good faith based on manufacturer schedules and freight availability. The Company is not liable for delays caused by manufacturers, carriers, customs authorities, or events beyond its reasonable control.

4. Import Duties and Compliance

Unless the agreed Incoterm provides otherwise, the customer is responsible for import duties, taxes, licences and any regulatory approvals required in the destination country. The customer warrants that it will not re-export goods in breach of any applicable export-control or sanctions regime.

5. Warranty

Equipment is covered by the warranty provided by its manufacturer, on the manufacturer's terms and for the manufacturer's stated period. The Company will assist the customer in submitting and progressing warranty claims but does not extend or replace the manufacturer's warranty.

Consumables, wear parts and items damaged by misuse, unauthorised modification, unsuitable environment or use of non-approved materials are excluded from warranty cover.

6. Limitation of Liability

To the maximum extent permitted by law, the Company's total liability arising out of or in connection with any order is limited to the invoice value of the goods concerned. The Company is not liable for indirect or consequential loss, including loss of profit, loss of production, loss of data or business interruption.

Nothing in these Terms excludes liability for death or personal injury caused by negligence, or for fraud.

7. Intellectual Property

All content on the Website — text, layout, graphics and code — is the property of the Company or its licensors and may not be reproduced without written permission. Manufacturer names, brands and trade marks referenced on the Website are the property of their respective owners and are used solely to identify the equipment supplied.

8. Third-Party Links

The Website may link to third-party sites. The Company does not control and is not responsible for the content, availability or practices of those sites.

9. Changes to These Terms

The Company may amend these Terms at any time by publishing an updated version on the Website. The version in force at the time of an order applies to that order.

10. Governing Law

These Terms and any dispute arising from them are governed by the laws of the Hong Kong Special Administrative Region, and the parties submit to the exclusive jurisdiction of the Hong Kong courts, unless a different forum is agreed in writing in the contract of sale.
